Synopsis

Employment contracts commonly contain post-employment restraint of trade clauses, such as noncompetition and non-solicitation clauses. Where ex-employees act in purported breach of such restraints, employers often look to interim injunctions to enforce such restraint of trade clauses (ROT Interim Injunctions), pending a resolution of the dispute.

ROT Interim Injunctions are ordinarily of critical importance in shaping the landscape of an employment dispute. Successfully obtaining the ROT Interim Injunctions not only safeguards the employers’ interests, it also ordinarily places the employers in a strong bargaining position vis-à-vis the allegedly errant employees.

This seminar examines, at some length, the appropriate test which the Singapore court should apply when determining whether to grant ROT Interim Injunctions.

Such examination is apposite as, at present, there appears to be some uncertainty in this area of the law. This is in the light of two 2024 Singapore High Court decisions – the Shopee case ([2024] SGHC 29) and the MoneySmart case ([2024] SGHC 94) – which (in the speakers’ view) seemingly diverged on material aspects when formulating the appropriate test for the grant of ROT Interim Injunctions.

This seminar analyses the two decisions, with the ultimate aim of providing participants with guidance on the appropriate test to be applied when the issue of ROT Interim Injunctions arises.

Apart from the foregoing discussion of the applicable legal test, this seminar will also highlight the various strategic and ethical issues which counsel should take heed of when applying for (or defending) an ROT Interim Injunction application, as well as in the immediate aftermath of the application.

In all, the seminar will provide multi-faceted guidance in approaching the issue of ROT Interim Injunctions.

Mr Yeo Chuan Tat (SUSS)

Chuan Tat is a Senior Lecturer at the Singapore University of Social Sciences, School of Law (the Law School) where, amongst other things, he has taught trial advocacy and civil procedure. Chuan Tat conducts research on various topics in litigation and arbitration.

Prior to joining the Law School, Chuan Tat practised in a number of local and international law firms. Presently, he is Counsel at Breakpoint LLC, where he focuses on international dispute resolution. He has advised on numerous employment matters, including acting as counsel in employment disputes.

Chuan Tat is admitted to practise law in Singapore, England & Wales, and the State of New York. He obtained his LL.B. from the National University of Singapore and a LL.M. from Columbia Law School.


Ms Edith Chen (SUSS)

Edith is a Lecturer at the Singapore University of Social Sciences, School of Law (the Law School), where she has taught family law, property law, legal methods and trial advocacy.

Prior to joining the Law School, Edith was a legal practitioner in private practice for over 10 years. Her practice areas included civil, commercial and family litigation. She is also an accredited mediator with the Singapore International Mediation Institute and an Associate mediator under the Law Society Mediation Scheme Panel. Edith currently maintains a practice as a Consultant with Tan Rajah & Cheah. In her practice, Edith has advised on and acted in employment cases and cases involving the obtaining of interlocutory reliefs.

Edith obtained her LL.B. from the National University of Singapore, where she was awarded the LexisNexis Family Law Prize.

 

Mr Tay Yong Seng (Allen & Gledhill)

Yong Seng acts as lead counsel in a broad spectrum of commercial disputes, in both litigation and arbitration. His clients include global financial institutions, leading multinational companies and government bodies.

In the Singapore Courts, he has particular expertise in commercial, banking, real estate and employment litigation. He has acted for top-tier financial institutions and trading companies like BGC Partners (global financial and commodities brokerage headquartered in New York and London), Itochu (one of Japan’s largest trading conglomerates) in complex litigation that pushed the boundaries of Singapore law.  In the Court of Appeal (Singapore’s highest Court), his experience lies in arguing novel and difficult points of law, with successful cases including a landmark 5-Judge decision on defamation, and various leading decisions on company/insolvency law and tort law and the first civil action under the Personal Data Protection Act 2012.

Yong Seng was educated at Oxford University. He took a B.A. (Hons) in Law in 2003 (converted to M.A. in 2013), and a B.C.L. in 2004. At Oxford, he was an Exhibitioner and a College Book Prize winner at Pembroke College.
